The Senior Corporate Legal Manager will manage a broad range of corporate legal matters, including corporate governance, legal entity management, and strategic transactions. You will report to the Director, Corporate & Securities Counsel and will maintain communications with people in different levels of the organization as you formalize and improve processes.

Your Success Profile

What You Will Work On

  • Work closely with in-house counsel and other internal stakeholders to support corporate secretarial function, including production of Board and Committee meeting materials, calendars, trackers, consents, and minutes
  • Lead the management of Justworks’ growing global legal entity footprint in coordination with local legal and finance experts
  • Manage governance for Justworks’ US subsidiaries, including preparing corporate documentation such as formation documents, minutes, resolutions and powers of attorney
  • Oversee relationship with registered agent and coordinate state annual report and tax filings
  • Coordinate with licensing team and other internal stakeholders, as needed, on all legal entity related matters
  • Collaborate with People and Finance teams on equity plan administration
  • Provide deal management support for M&A, finance, and other strategic corporate transactions
  • Coordinate responses to diligence and KYC requests
  • Develop and maintain library of standard NDA templates
  • Develop processes and practices to improve day-to-day efficiency and effectiveness of the corporate legal function
  • Perform other related duties based on department and/or organizational needs

Qualifications

  • Minimum of 6 years of relevant prior work experience at a major law firm or company legal department
  • Experience with Section 16 reporting, stock exchange requirements, and insider trading compliance a plus
  • Experience with corporate legal technology solutions such as Diligent Boards, Workiva and Carta a plus
  • Excellent written and verbal communication skills
  • Demonstrated time management, organizational and analytical skills
  • Detail-oriented
  • Collaborative team player with a positive attitude

The base wage range for this position based in our New York City Office is targeted at $137,500.00 to $151,250.00 per year.

Actual compensation is based on multiple factors that are unique to each candidate, including and not limited to skill set, level of relevant experience, and specific work location. Salary ranges for positions based in other locations may differ based on the cost of labor in that location.
